The cash which had been received from the public was not sufficient, however, to carry on I the whole operation. The great aim of the I promoters was to obtain a quotation on the Stock Exchange, and under the rules of that I virtuous association of gentlemen it is not possible to obtain a quotation until a certain proportion of the shares of the new company have been bona fide (?) subscribed by the public. The advantage of a quotation is that. whereas without it you can only swindle indi- viduals whea you can catch them, with it, by the simple process of making a market, the general public can be defrauded. Persons who have had dealings on the Stock Exchange will Understand this easily enough. A quotation ] gives you a daily advertisement in all the 1 principal newspapers, and if you are wise and don't break prices you can generally "unload" your shares with comparative facility. When the promoters have got rid of their shares the astonished public are permitted soon to dis- cover the sort of investment they have made. Now the extra cash that is wanted to get rid of the shares successfully is provided as a rule by a sort of partnership which is called a "pool." A pool consists of the promoter, of one, two or three "bucket shop" proprietors or mana- gers, of a jobber or two, and of some of the brokers in the House who are interested in the company. Often enough the solicitors to the company join in-altogether a pretty little family party. A sum of money is provided by each mem- ber of the pool, and the profits are divided according to an arrangement,w^ich often enough is reduced into writing. Mr. Winstaple busied himself with the for- mation of a pool. The capital was provided. Mr. Pozer, of the West of London Stock Ex- change, was pressed into the service to do the Piccadilly branch of the business. Then, when all was reidy. large blocks of shares were applied for and allotted in the same respect- able way as that which I have described above. So far as the share register disclosed, it appeared all pretty straight and above- board. There was the public, Thomas Smith, Esq., of The Chestnuts, Fulham, included, there were the shares, and there were the deposits as appeared from the pass-book. It was true the banker's balance was nearly nothing, because all the cash received had been paid to Ebenezer Gumbleton, and by him transferred back to the promoters or to the pool, as the ca-se might be; but then the Com- mittee of the Stock Exchange could not pos- sibly find that out. It consists of gentlemen of the very highest standing, who never heard of fraud or cheating or anything of that sort in their lives, and it is so wrong to be always suspicious. By the law of England every man is* inuocc-at until he Ikus been proved guilty, and why should they doubt Johnson, and j Jackson, and the others? So, everything being in order, a quotation was granted in due form, and the ball was set rolling. The "bucket shops" received some of the blank transfers which had been signed by the first subscribers, and commenced puffing them amongst their stupid clientele. The majors and captains on half-pay who considered their incomes insufficient for their requirements found their way into the well-appointed office of the West of London Stock Exchange, in Piccadilly; or, perhaps, preferring to transact business more in the City (it sounds better), they would visit Mr. Effingham Winstaple. in Threadneedle-street. There they would be told of the wonders of I the Silver Streak,, they -would be shown the day-to-day quotations in the market, and often enough they would buy and sell and carry over and over, and pay differences, until some settling-day or other they would find themselves in the dilemma of having to sell at a ruinous loss, or to take up the stock or shares which when taken up were of no value. Meantime, circulars would be sent cut by Effingham Winstaple and Co. to every parson, widow, governess, or little strug- gl'ng tradesman throughout the country Clerks would be encouraged to defraud their masters, poverty and necessity would be exploited; the greed of gold worked upon; and so, little by little, the one-pound shares of the Silver Streak Gold Mining Company, it wae hoped, would find their way, in exchange for solid sovereigns, into the pockets of the British public. And meantime—the jobbers and brokers in the Honse-as the Stock Exchange is called by its "Honourable Members"—would buy and sell Silver Streak shares at good premium prices, and as the public absorbed so would Mr. Winstaple hand out the blank transfers which were in his safe. Of course, be it under- stood, although a price would be made and quoted, the public would be only allowed to buy, not to sell. So the affair was set poing, and it only wanted time now to see how it would turn out in the end. It was just at this juncture, when he wanted every penny of his spare cash for the pur- pose of his Silver Streak pool, that Mr. Effing- ham Winstaple received the urgent letter from the rector, informing him of the sequestration proceedings, and pointing to the pressing need for assistance and for the rapid realisation of the fortune which had been so lavishly promised by the broker at their last inter- view. It was exceedingly awkward. Mr. Winstaple scarcely knew which way to turn for money. The bank knew him too well to advance a penny without security, and bank managers, being rather, sharper men of busi- ness than the Committee of the Stock Exchange, have a way of scenting bogus shares and fraudulent com- panies, which seems sometimes astonish- ing. So he could raise nothing upon the large nominal capital which reposed in his safe. And yet he must have five hundred pounds! Let but the rector once doubt him even for a. moment, he felt assured that Wini- fred would be lost to him for ever. And the passion for Winifred had grown wild within him of late. The floating of the Silver Streak had become but an incident in his life com- pared to this. He thought of her by day and dreamed of her by night. The idea of 1^ her almost drove him mad. Yes, the money must be got at any risk. After all he had never before found it impossible to lay his fingers on five hundred pounds, and now his necessity was more urgent than ever. Mr. Winstaple had gone down to Pen-cwm- garw by the mail from Paddington; he had decided to part with his money in propria. persona, and to receive assurances in exchange, which should tie the hands of Mr. Stepney pretty closely. Besides, he longed to feast his eyes on the object of his passion. It was all very well for the rector to write that all was going well. The rector had a. purpose to,1 serve in telling him this, and he wished to be assured for himself. Eocles had confessed to him that Winifred had plighted her troth, and he had his doubts as to the sufficiency of the paternal authority, parti- cularly in view of the patent hostility of Bob towards him. The broker felt that his trump cards were the financial difficulties of the rector, coupled with his inordinate vanity, which would drive him to any extremes rather than that he should suffer humiliation. To play with those cards it was necessary that he should be on the spot. It could not be done by correspon- dence. TIe must watch the game as it pro- gressed, and be ready at a moment's notice for any emergency. Not that Mr. Winsta.ple entertained much doubt of his ultimate success. He knew that he could draw a programme of existence for the young girl that would make her eyea dance in anticipation. The humdrum sort of life which the country surgeon could offer would appear miserable enough when com- pared to the brilliant attractions of London society. Still, young girls were given to poetry. He knew well enough that a period arrives when unsophisticated damsels dream of romance, of love in a cottage, and posi- tively gloat over the penury and privations which will enable them to prove their devo- tion to the hero whom, for the moment, they have placed upon the lofty pedestal of their imagination. He must be there to guard Winifred from committing any such folly. He flattered him- self that on the spot Dr. Eccles wa.s no pos- sible match for him. and as everything in the City was in train, and all that was wanted was time and patience for development, he felt able to go down to Pcn-cwm-garw and to advance his suit. "I cannot tell yon, my dear Winstaple, how I appreciate the devotion with which you immediately hasten to the rescue. These scoundrels demanded that I should surrender at discretion, they positively dictated to me what I should do, and in their low-bred jargon atlempted to foist their puritanical schism down my throat; but I was equal to them, I gave them the right about. I knew well enough that I should not be deserted to perish on the battle-field alone, and I was right in my judgment, for here you are with the neeJed succour. Wnen they see that their threats and terrors are but idle vapourings, and that their weapons of the law, as they call them, have no effect, they will consider them of their ways. and they will come for that forgiveness, wutch, when prayed for in a proper spirit, shall never be denied to them." "Don't mention it rector; don't, pray. Yon wrote you were in distress, and I have come. What less, indeed, could I do? My own flesh and blood I may almost say. I hope-" The rector bowed in acquiescence. "And then it was only a trifle. Five hundred, I think you said in your letter? A mere trifle, incon- venient just now, no doubt; because, I don't mind confessing to you, I have invested largely in the Silver Streak myself-very largely, even for me, and money is very tight in the City just now, and every little helps; still, five hundred is neither here nor there, par- ticularly to oblige yon." "I should not have troubled you, Winstaple, but for the singularly unfortunate circum- stance of the sequestration proceedings. These heretical schismatics stick at nothing nothing is too sacred for their impious grasp, and since it is only a matter of a few weeks before I can realise some small por- tion of my shares, I thought you would not mind Mr. Winstaple lifted his hands depre- catingly. >>ay no more about it. say no more; yon make me quite uncomfortable. I'll tell you whac—let's make it a simpie matter of busi- ness. and then there will be no thanks due to anyone. The broker prepared a memorandum of deposit by way of equitable mortgage with respect to some of the shares.
