MICHAEL'S HALL, GEORGE YARD, LOM- BARD-STREET, E.C. ABRIDGED PROSPECTUS. This Company has been formed for the purpose of acquiring concessions, rights, and subventions granted in respect of a railway from the Dom Pedro Seguudo State Railway, to the City of Pitanguy (having a population of upwards of 30,000 inhabitants), thus carrying out an important object of the Imperial Go- vernment of Brazil, namely, to create railway com- munication betweenllio de Janeiro (the Capital of the Empire) and the San Francisco River. The Decr. es of Concession empowering the con- struction of the Line of the Minas Central Railway of Brazil are respectively dated the 18th November, 1881, the 22nd June, 1882, and the 6th October, 1882. By virtue ot those Decrees i ii annual sum amounting to 6 per cent, in gold, on a maximum sum of £1,012,500, or equal to £ 60,750 in gold, is guaranteed for thirty years of this guarantee an annual sum of £ 21,875 will be set as de for the service of interest on the present issue, leaving the Company an annual net balance of to with. The population of M-nas Geraes, 1,300,000 in 1862, was 1,500,000 in 1872, and now amounts to about two millions, or more than one-sixth of the whole population of the Brazilian Empire. Its area is 230,000 square miles. It possesses its own provincial legislature, empowered to levy taxes and to make laws for provincial purposes, and its assessable value is esti- mated by the Coimuentlador Domingos Moitinbo at £ 300,000,000, whereas the taxes hitherto laised for re- venue purposes only amount to £300,000 per an- num. It will thus be seen that ample security exists for the payment of the guarantee now given. The line owned by the M.nas Central Railway of Brazil" Limited, will be a highly important feeder or extension of the Dom Pedro 11. svstem. The latter is one of the most successful a- well'as one of the most promising railway undertakings in Brazil its traffic I"CI1e0af,ed f™ai £ 543,000 in 1871, to £ j,300,0j0 m 18<J1, while the percentage of working expenses has decreased from £ 43 to £ 42 per cent.! as published mthe Government returns. There is every reason to anticipate that a very large share of tips pro- sperity will fall to this company's line. The present company's line is in every re,pect similar to the San Paulo and Leopoldina Railwavs all three lines connecting the Dom Pedro Segundo with a fertile province (vide map accompanying the pro- spectus). The seven per cent Shares ( £ 20) of the San Paulo Rail way are now quoted on t'lle London Stock Exchange f;3ö to £ 40,and as regards the Leopoldina Railway (whose capital is entirely heid in Brazil), it will be seen from the accompanying report that the Ordinary Shares received in 1881 dividends equal to 30 per cent, the annual traffic returns showing an increase of 10 per cent over the preceding year. The only contract entered into by the Company is between Joseph St^inert as trustee on behalf of the Company of the first part the Brazilian llailways Con- structi in Corporation (Limited) of the second part; and Messrs Ross and Mathews, Contractors of Public Works, of third part, dated the t:3rd day of April, 1&33. Full prospectuses, with map, and forms of applica- tion for shares, may bo had from the bankers, brokers, and offices of the company. The following is a copy of the letter of his Excellency the Imperial Brazilian Minister, addressed to the Directors of the Company — Brazilian Legation, London, th April, 1883. Gentlemcn,-I beg to acknowledge the receipt of your letter of this date, asking me whether, in granting concessions for Railways within its territory, and guaranteeing interest upon their capital, a Province in Brazil acts within its powers. In reply, I have to state that the constitution and laws of Brazil a.low the Legislative Assembly of a Province, with the sanction of the President of the Pro- vince, to grant concessions for Railways in its own jurisdictiou, and to guarantee capital invested thereon. I have the honour, Gentlemen, to be, Your obedient servant, PKNEDO. To the Directors of the Minas Central Railway of Brazil (Limited)." FURTHER ISSUE OF SHARES AT PAR. The first allotment of shares having taken place in the beginning of December last, and the company's business being now in full operation, the directors are prepared to receive applications for the unallutted por- tion of the first issue of shares. The company's business consists in lending money on first mortgages of freehold property in the Western States of America and in Canada, and acting as agents for the sale and purchase or negotiation of American and Canadian securities oil commission. The Company's lending operations ar(chidiy in the State of Iowa, Missouri, Kansas, Colorado, Nebraska, and neighbouring States, and are at present conducted mainly by the Kansas Loan and Trust Company (an incorporated company which has a wide connection and great experience in loaning money, and which has within the last seven years negotiated loans amounting to more than one million sterling). The funds re- mitted to the agents are being invested at good rates of interest without delay. 111 making loans the amount lent does not exceed one-half the appraised value of the land, and no loan is made without an independent valuation and personal inspection by an agent on be- half of the Company. The Company is issuing debentures at 5 and bil per cent, secured by the whole investments of the Com- pany, and protected by the additional guarantee of the uncalled capital. These debentures are being steadily taken up by the public, and the funds at once remitted to the agent for investment. In addition to the profits from investments on mort- gage, the Directors anticipate doing a profitable agency business in negotiating sales of land and American and Canadian securities, and several important proposals of safe business have been made to the Board. The great uccess attained by companies farmed to work on the principles to be adopted by this Company is shown by the f.ict that Land Investment Companies pay very high dividends. In Scotland there are several American Investment Companies paying 10 to 15 per cent. dividends. This Company has been formed to acquire th impor- ant and handsome building known as St. Michael's Hall, George-yard, Lombard-street, for the purpose of supplying a want long felt by public companies, solici- tors, accountants, and others, of a large central institu- tion in which to hold their meetings. M.,ny company and other meetings have already been held in the build- ing, and universal approval has been expressed as to the suitability of the premises, and the comfort and accommodation provided. The Hall is admirably situated between Lombard- street, Cornhill, and Gracechurch-street, within two minutes of the Bank of England, the Royal Exchange, the Stock Exchange, and the principal City Banking and Insurance Companies. One portion of the building is freehold and the other leasehold, and the entire premises bccupy a superficial area of about 4,430 feet, having a frontage to George Yard of over 89 feet. It is well lighted and ventilated, and contains on the ground, l irst, Mezzanine, and Second floors, ten spacious rooms, ranging from 42 feet by 35 feet, to 25 feet by 19 feet, the largest of which will hold over 500 persons. In addition to these floors there is a Lower Ground Floor, occupying an area of 4,800 feet and an Upper Floor of nearly simdar dimen- sions. The whole of the Upper and Lower Ground Floors will be let as offices, and the Directors have already received applications to lease them on favourable terms directly the necessary alterations are completed. The rents from these floors alone will be sufficient to pay the ground rent on the building and a portion of the taxes. It is estimated that if the rooms on the ground, first, mezzanine and second floors are let only once a day, they will produce a revenue, after providing for the expenses of management, the interest on debentures, and the creation of a sinking fund, sufficient to pay a dividend of at least 10 per cent. on the ordinary share capital. Taking, however, into consideration that many meetings occupy but a very short time, there is no reason why the revenue should not be largely in- creaseù by lettiug the same roums more than once daily. The First Mortgage Debenture Bonds, now offered, will take precedence and priority over any share capi. tal, and will be a first charge on the entire property. The interest on the debenture bonds will be payable on the 1st of November and the 1st of May in each year. Portions of the property being leasehold for long terms, a sinkilJg fund will be formed sufficient to pro- vide for the redemption of the ground rents, whenever the opportunity may arise, and also for the repayment of the whole of the "debentures prior to the expiration of the leases. The debenture bonds are to be current for five years, but power is reserved to the directors to redeem, within that period, the whole or any number of such debenture bonds by annual or other drawings at the price of £ 105 per £ 100. It is not imperative that subscribes for debenture bonds should apply for any shares in the compp.ny, but preference in the allotment of bonds will be given pro rata to those applying also for ordinary shares. The only agreements entered into are one dated the 28th day of February, 188c, between Alfred Holland of the one part, and Samuel P.
