This Company is formed for the purpose of acquiring, working, and further extending the extremely well- known and e1.tensiYe business of Messrs Stevens and Son, Wine and Spirit Merchants, of Card iff-the largest business of its kind in the Principa.1i5y. Messrs Stevens and Son have carried on the above business throughout the greater part of South Wales, and in other districts outside the Principality, for over 33 years. Mr J. W. Alfred Stevens, the Vendor, who is well and widely known, has for some time felt, that in con- sequence of the increasing business of the Firm, it has become necessary that he should relinquish, to some extent, the responsibility which its development has entailed, and he has conceived that its future working by a Limited Company is the best means for fUTther extending its opeu¡,tiolls. Some idea of the magnitude of the business done may be gathered from the fact that the Vendor has, for years pRSt, paid more Cutom Duties on Wine, and Spirits iu the Port of Cardiff than that paid in such Port by all the other Wine and Spirit Merchants there put together. This, coupled with the fact that Messrs Alexander, Daniel, Seife, and Company, of Bristol, the well-known Accountants and Experts in businesses of this descrip- tion, wno have audited the Vendor's Books, have certified (seA their CerLificate below), (1). That the average annual profits for the past three years have been about £ 4,000. (2). That tl1ere has been a steady and most satis. factory increase in the trade, ami (3.) That the profits for the year 1888 amounted to £4,215, shows a remarkably valuable business, thoroughly established, and in full working order. The price to be paid to the Vendor is £45,000, of which sum £19,909 6 lid is for book debts, which alone prove the extensive conneotion of the firm. These would be taken oyer by the Company, and it is worthy of notice that the Vendor guarantees that they are (20th April, 1889) all good, and are subject only to those allowances which the Vendor customarily makes, the balance being for stock-in-trade, the leases of the premises hereinafter described, the well-established /"usin6>!s, the goodwill thereof, plaut, horses, carts, and utensils in trade. The Vendor, in order to show his unabated confi- dence in the undertaking, has agreed to take, as part of his purchase money, £5,000 in fully paid up Pre- ference Shares, and £ o,000 in fuily paid up Orùinary Shares, or. if o arraned with the directors, he will receive the whole of the said sum of £10,000, or such larger sum as may be agreed by either wholly or par- tially paid up Shares of each kind, or wholly or par- tially paid up Ordinary Shares, or of both of such kinds, or will receive a larger or lesser number of such shares in part payment of the purchase money, as OCC8.$ion may require. In fact, the Vendor is quite willing to take up one-third of the company's capital. The Vendor has also agreed to join the Board, receiving for a period of two years from the commence- ment of the Company's business no remuneration whatever for bis services, unless and until the Com. pany has paid the Ordinary Shareholders a dividend of 10 per cent, per annum durihg that period beyond his mere out-of-pocket expenses in connection with such business. Besides the matured experience the Company will thus such bl1sines. Besides the matured experience the Company will thus gain, it»should be observedjthat the services of Mr John ) Weaver, who has managed the Vendor s business for over It quarter of a century, have been secured as Manaing Director for a period of seven yearR, and he vrill duly qualify as a Director by holding the requisite number of shares in the Company's capital. The services of the Chid Traveller of the firm, Mr A. A. Banner, who is intimately acquainted with the majority of the customers, with whom (as will be seen by the Gnarantee of the Book Debts which the Vendor glyes) so safe a business has been done, have also been secured for a period of seven years. Although the nominal capital is £45,000, the Directors are of opinion that the business can be worked just as efficiently if that capital is not called up bv £6,000, and that as the Book Debts, and the very workable Stock in hand, are amply sufficient for the purpose, it will only be necessary, at present, to call up a sum of £40,000. They are, moreover, advised that the business is capable of great extension, and they venture tn refer to the experienced capabilities of those gentlemen who haye taken seats at the Board. The business premises (situated at Victoria. Cellars, St. Mary-street, Cardiff, the principal street in that town) are held for a period of 21 years from the 25th day of December, 1878, at an annual rental of £300, but as £176 per annum is let off, the remaining rent of S124 represents (as those knowing St. Mary-street can well understand) a very small sum for rent of premises so Epiendidly pla.ced. The above will be secured by the Company,—as will No. 12 Customs Bonded Cellars (the largest Bonded Cellars in Cardiff), which are held for 21 years from the 29th day of September, 1880, at an annual rental of £100. These are most conveniently placed for the Com- pany's business, being only about 200 yards from the business premises, by which circumstance a great saving is effected in transit and clearance of bonded goods, besides affording facilities for quick despatch of orders. Taking the net profits of 1888 as a guide, it is con- ceived thac they will leave ample margin for a dividend upon the Oraiuary Shares without taking into con- sideration the large influx of business which the directors believe must, of necessity, result from the extended operations of the Company: e.r/. Net profits for the year 0 0 Dividend 011 £17,500 of 6,per cent. Preference Shares. £1,050 0 0 Estimated excra COlit (If work. ing the business as a Com- pany £450 0 0 —————— 0 0 £2,715 0 0 This will leave £2,715, which is more than sufficient to pay H. Dividend of £ 12 per cent, per annum on the £22,500 of Ordinary Sha/ es intended to be called up, the amount absorbed by such dividend being £2,700. These facts go to prove what a valuable investment the Preference Shares of the Company are also likely to be. Seeing the increase which the Accountants certify has taken place, the Directors are of opinion that both Revenue and Dividend will be increased in the future. The following Contracts, mentioned in the Memo. ra.ndum and Articles of Association, have been entered into, and are all dated the 27th day of April, 1889, viz. 1. Between Mr John William Alfred Stevens and Mr J. E. GURn, on behalf of this Company. 2. Mr John Weaver and Mr J. Ê. Gunn, on behalf of this Company. 6. Mr A. A. Banner and Mr J. E. Gunn, on behalf of this Company, These Contracts, or copies thereof, can be inspected at the Office of the Company's Solicitor, as also can the Memorandum and Articles of Association. Applications tor shares should be made, accompanied by the necessary deposit, to the South Wales Union Bank, Limited, Cardiff, within the time named in accordance with the notice at the commencement of this prospectus. Should no shares be allotted, the amount paid upon deposit will be returned in full. Copy Certificate above referred to. Bank Chambers, Corn-street, Bristol, "20th April. 1889. A Mechanical Stoker with which Forced Draught can be satisfactorily used. Saving about 60 per cent. in cost of fuel. A largely- increased duty obtained from the Boiler. During the past few months, since the results of the various trials of these Furnaces have been seen to be successful, considerable public interest has naturally been manifested in the development of this remarkable invention, and many of the scientific and other papers have devoted column after column of their space to de. tailed descriptions of the Furnace, its system of working, and the extraordinary results attained. The following are extracted from a few of the many Press Notices on the subject;- "Times," December 25, 1888. THE HOPCRAFT FURNACE. A decided departure in the mechanical firing of steam boiler furnaces has been invented by Mr Lewis Hop- craft, and successfully applied to the steamer Lotus, belonging to the Victoria Steamboat Association In this furnace the fuel, which is small coal, is fed into a hopper in front of the furnace, and is conducted thence through a tube, in which is an Archimedean screw, to the centre of the furnace grate, which is circular and is made to revolve slowly. The coal is thus delivered into the centre of the body of incandescent fuel, where it is slowly but thoroughly consumed under the infiu- enca of a forced draught supplied by a fan. The cir- cular revolving grate is placed at a slight angle, dipping towards a set of fixed bars, on to which the clinkers fall, and from which they drop into the ashpit below, the residual products, however, being very small in quantity. The working ot this furnace is found to result in complete combustion, and therefore the absence of smoke, and this with the use of small coal or slack. Beyond this there is a saving of labour cost, as a boy only is required to keep the hoppers charged. A demonstration of the" Hopcraft" Furnace took place the other day, when a run was made in the "Lotus" by a number of gentlemen interested in the question of smoke pre. vention, both in land and marine boilers. The furnace worked very satisfactorily, steam being well-kept, although the fires were by no means over-driven. The funnel of the boat emitted no ,moke during the trial. The fuel was cheap si ick or dust, of which there are many thousands of tons in this and other countries awaiting utilisation by some such means as the present. The invention is being introduced by the Hupcraft Furnace Company. Tha Victoria Steamboat Company have given orders for seven more of their boats to be fitted on this principle, their engineer having carefully watched its development to the preent successful issue. The "Engineer," March 2.1, 1869. THE HOPCRAFT FURNACE. As the coal is delivered upwards and approaches the body of incandescent fuel on the grate, a (listilleting orgas generating process is effected. The products of distillation-the smoke-producing constituents of the coal-having to pass up through the incandescent fuel on the grate, become strongly heated, and ignite as they come in contact with the streams of atmospheric air, which are also being forced through the fuel on the grate, and produce a brilliant flame. The residual coke is burned on the grate, and forms the incandescent fuel, which makes the process constant and regular so long as the furnace is Pt work. Although the chief advantage of this ..rftace is th4t it will make small coal perform a high 'ùuty, large coal, which always contains a certain pro- portion of small, may also be burnt in it. The absolute smokelessness of the furnace, which was fully demonstrated on the above and on other trials, is also a feature of considerable importance. Another advantage is that the feeding being continuous and practically automatic, skilled stokers are dispensed with. The small coal and coal dust cost at the pifs mouth frofli two to four shillings per ton, and, though a large adoption of this furnace may have the ultimate effect of eventually raising their prices, 3tlll small coal will always be cheaper than large, and an invention that, makes the one as valuable as the other for flll must be regarded as effecting great saving to the mochanicai world. From the trials we saw we feel sure that, unless some unforeseen mechanical difficulty should manifest itself in the course of more lengthened and general use. the Hopcraft Furnace has succeeded in solving a very difficult problem. The Victoria Steamboat Association, after weeks of careful trial, are fitting them to six of their steamers, with the view of following this order with instructions to fit their entire fleet of thirty vessels with it. The General Steam Navigation Company's representative, who was present at the trial, together with representatives from theOrientLine and from Lord Charles Beresford, expressed themselves highly satisfied ith the result. The speed wts the normal speed of the river steamers, and the trip extended from Charing Coss Pier to London Bridge and back. We understand that it is estimated that an ordinary passenger steamer oil the Thames, fitted with a Hopcraft Furnace, would burn on the average about 30 cwt of coal a day. The appli- cations of the furnace aro not limited to marine boilers, but are also available for land boilers, and at the works of Sir Joseph Causton and Sons these furnaces are now working with great success. Tii,- trials liave been witnessed by engineers whose opinions Oil such matters carry the greatest weight, including the chief engineers of Lloyd's, who have spoken in the highest terms of the working of the furnace. This mileage will be increased to 478 miles by the ex- tension to Scranton now in course of construction. The company has for about 200 years the right to use the West Shore Railroad Terminals and connecting facilities at New YOlk City. The Common Stock of the Company is for $)8,113,982' 84, having a market value of about$10,000,000. Referring 10 the extension to Scranton, the Presi- dent of the Company in his circular to the Stock- holders, requesting their authority for the creation of the New Mortgage, stated — That the line at Hancock, New York (State), is distant about thirty miles from the anthracite coalfields of Pennsylvania, and a ro\d from Hancock, via Forest City and Carbondale to Scranton, a distance of about fifty miles, will reach, at the latter point, the centre of the Wyoming coal basin, from which was shipped more than twenty-two million tons of coal during the last year. Between Forest City and Scranton it would pass through a thickly settle valiey, which furnishes a large local traffic to and from Scranton, a city of nearly one hundred thousand inhabitants, and would also reach a good market for larye quantities of dairy and farm products from the North. In a letter which accompanies this Prospectus, the President gives a detailed description of the nad and its affairs, and states that: Contracts for a large coal tonnage have already been secured, sufficient to justify the building of the new extension and to assure a fair surplus over the interest upon the Capital required for its construction, those already signed exceeding half a million tons per annum." He further states that the gross earnings for the fiscal year ending 30th September, 18:58, eqtzalled $5.62 per mile of railroad owned," and that the three years ending 30th September, 1888, show a net surplus" (after payment of all interest charges) "of $235,566, which sum has been expended in better- ments," also that the Company has no car trusts," and that the main line and branches are now laid entirely with steel rails, and the track is in excellent condition. There have in the last three years been considerable additions and improvements te the equipment, which has placed the Company physically in a position far superior to that formerly occupied, as is set forth in the report to the stockholders at the close of las-, year. This report shows that 42 per cent. of the freight tonnage of last year was derived from the Company's then existing coal traffic." The objects for which this$10,000,000 Mortgage has been created are fully sec forth in the President'* letter. I also had a bruised shinboue, through which I could rest for only a few minutes at a time. All sorts of remedies were applied, but none did any good for more than a few uays. 1 was recom- trended to try Clarke's Blood Mixture, which I did, and on taking the first bottle I felt relief. I was told that eleven bottles would effect a perfect cure. I only took nine bottles and a half, which cost me 2s 6d per bottle. It is now ten months since, and I have not felt the least pain—in fact, I am perfect in my walk, and am in as good health as ever I was in my life. "Moreover, I told two friends of mine who were laid up with rheumatic pains of my cure, and they tried your Clarke's Blood Mixture. They are tailors by trade, and in seven days they were a.t work again, and they say it cannot be too highly praised.—Hoping I am not intruding, I remain, your, sincerely, I "G. HOWARTH, Sergeant, Depot Cheshire Regiment, Chester." Sold in bottles, 2s 9d and 11s each.
