REPORT. ANDREW WALLS, Esq., iu the Chair. The notice convening the Meeting having been read by the Secretary, and the Report taken as read, the Chairman said:— Gentlemen, I venture to txiinK tli&t it would hardly be in accordance with your wishes if I oc- cupied your time on the present occasion with any very lengthened remarks, and as there are changes ,e and features in the Balance Sheet to which it will be necessary carefully to direct your attention, I will not detain you by any general observations on the state of trade, the condition of the money mar- ket, &c., with which you are as well acquainted as I am, but address myself at once to the immediate duty before me of explaining and briefly comment- ing on the various items in the half-yearly ac- counts presented to you, and I do so in the full assurance that they are of such a character as will meet with your acceptance and approval. Taking the items in the order in which they appear in the Balance Sheet, we commence with paid-up Capital 4200,000, which you will see has been increased X25,000 since our last Meeting. This has been effected by the issue of 5,000 new Shares-com- pleting the issue of 10,000—which you will remem. ber were specially referred to, and the subject discussed at our Half-yearly Meeting in February, 1876. The Shares have been allotted, in accord- ance with the intimation then made to you, to customers and other residents at the Branches, at the market price of the day. The allottees number 250; and among them, I am glad to inform you, are many men of position and influence in their district, who are capable of promoting the business and interests of the Bank. The 5,000 Shares pro- duced the very substantial premium of Y,34,242, of which £ 33,728 was carried direct to the Reserve Fund; and the small remainder of £511, we thought it only right to credit to Profit and Loss, towards payment of the Dividend on the new Shares, which rank equally with the old Shares for six months' dividend, though a considerable portion of the money was not received till the latter part of the half-year. To avoid any misapprehension on this point, I would add that the accruing Dividend was taken into consideration in the amount of Premium at which the Shares were allotted, so that, practi- cally, no disadvantage occurred to the Bank. It may be interesting to you to know, that the num- ber of Shareholders has increased proportionately with the amount of the Capital-in fact, rather more so-and now reaches 1,148; so that you will observe, the Shares are distributed over a large number of Proprietors, in moderate individual holdings; and the high price the Shares command ig the market, viz., 150 per cent. premium, will confirm my statement, that they are held by a body of substantial investing Proprietors. Before passing from the subject of the Capital, I may just repeat what you are told by a paragraph in the Report, viz., that it is not intended to further aug- ment it until such an increase has taken place in the business as will render it desirable. The next item I have especial pleasure in bringing under your notice is the Reserve Fund, which now amounts to £ 100,000, invested in New Three Per Cents., quite separate and apart from the Bank's other accounts and investments. This Fund hav- ing now attained to the proportion of 50 per cent. of the paid-up Capital, we think it will be suffi- cient in future to increase it by the increment of i s own Dividend, that is to say, the Dividend on £ .07,210 Os. 1d. New Three per Cents., in which it is invested. The Dividends on the present amount of Stock will be R3,216 a year, but will, of cuurse, be gradually increased by the operation of com- pound interest. We bh'l, therefore, not recom- mend any further amount being applied to i-nt* --4.0- Fund out of the earnings of the Bank. Whilst on this subject I may add, that from the natural in- crease that is steadily going on in the business, we anticipate that it will be necessary, at intervals, from time to time, to make additions to the Capi- tal and, when this is done, the large Premiums, which the Shares may be fairly expected to com- mand, will enable us to make such further addi- tions to the Reserve Fund, that it will in time as- sume increased proportions of an important cha- racter. Customers' Current and Deposit Balances, XI,757,935, are t95,876 more than last half-year, and X 199,242 more than at the corresponding time last year, showing the continuance of that steady increase to which I have had occasion to refer at many of our previous Meetings. Gross Profit for the half-year, X50,715, is .£502 more than last time. Cash in hand, X331,367, shows an increase of £ 46,661; and Consols, and other first-class Invest- ments, X376,221, being an increase of £ 68,540, You will therefore particularly notice, that the Cash in hand and Investments, together, amount to the large aggregate of £ 707,588, being over 40 per cent. of our entire customers' balances in 8rB immediately available form. It may not be unin- teresting for you to know what the additional In- vestments consist of, and I will therefore name them:— £ 5,752 Consols; P,36,228 New Three per Cents.; 226,560 Debentures and Preference Stocks of the leading English Railways. When investing surplus funds of the Bank, we feel that perfect safety and ready convertibility should be our first consi- deration, and this can only be attained in high class Stocks such as I have mentioned, though, they only yield a moderate rate of interest. It will also be satisfactory for you to know that the totitl investments are by this morning's Stock Exchange List of the saleable value of £ 9,820 more than they skmd at in the Balance Sheet. Amount due from Customers, iiills of Exchange, &c., £1,346,S60, is £ 40,C5ti more than in December, Freehold and Leasehold Premis's, Furniture, &c., E25,775, is £1,067 more than in the previous iialaiice Sheet, caused by the completion of the New Premises erected for our Lewisham and Surbiton Branches. CurrentExpenses, £ 22,S57. amount to £ 435 more than in the previous half-year, caasea by increased salaries to our Branch Managers and Clerks. The liead Oflice expanses, I may just mention, have been less than in the former half-year. Interest paid to Customers, £ 10,708, explains itself. This completes tll" Balance Sheet and turn- ing to the Keiiort, the only paragraph I harj not had, more or less to allude to, IS, that Oil a requisition from the inhabitants of Khyl, a new Branch has been opened in that town, with every appearance of success. We have ma le a satisfactory commencement, and I trust the Branch will fully realize our expectations. The Gloss Profits for the half-year, after making piovision for Bad and Doubtful Debts, and including the amount brought forward from last account, are 1:55 854 9s. Id.9 and after deducting all Current Expenses, Income Tax, Directors' Remuneration, Auditors' Fees, and Interest to Customers, there remains a balance of L22,288 16s. 10d. The Directors recommend that this amount be appropriated in the following manner, viz..— £ 12,500 to the payment of a Dividend, at the rate of 12% per cent. per annum, free of Income Tax; £ 500 in further reduction of trochoid and Leasehold Premises Account; £ 3,843 8*. id. to Rebate on Bills; £ 5,t'45 8s. 6d. carried forward. Brackstone Baker, J. C.Bolton, Edwin Galsworthy, J.P., W. P Jackson and Rev. R- Whiston after which the Report and Balance Sheet were unanimously adopted, a Dividend of 12i per cent, declared, and the customarj votes of thanks cordially passed and duly acknowledged.
