This Company has been incorporated for the purpose of taking over as a going concern and calTvinCf on the business of MESSRS R. H. JONES & Co., of producing Electric Light and Power, successfully carried on bv them at Colwyn Bay, and to extend and develop the same. Also to erect and work a SANITARY LAUNDRY on the most approved principles, the motive power for working the machinery will be electricity. The present Electric plant is capable of driving a Laundry equipped to execute work, at current rates, to the extent of 1150 per week, or £7,800 per year. The Electric Works are of the most modern kind, replete with first-class machinerv and plant and a^e at present supplying the Public Hall, Baptist Chapel, and adjacent buildings, and a number of shops and private houses of this favourite watering-place. The demand is rapidly increasing, the extension of the supply to other important buildings being at present under the consideration of the Board. The Directors propose immediately to lay down their own smokeless gas plant, which will reduce the cost of producing electric current about 60 per cent, as compared with the price now paid to the Gas Company for supply. At present the plant is working for lighting purposes, required only a portion of each day, and it is. the intention of the Directors under powers granted in their Articles of Association to add to the present Works a Sanitary Laundry (very much required in the district), which will utilise the Electric Power throughout the whole of the day, thus securing a continuous profitable use of the power. The Electric Plant is capable of producing current for about 2,000 lights of 8-candle power each. The customers of the Company are under agreements to to take the supply for periods of years. The Directors have consulted the well-known electrical expert. Mr. Henry T. Crewe, M.I., Mech.E. Consulting Engineer and Electrician, 11, Queen Victoria-street, London. His report is as follows:- "London, E.C., Ootober, 27th. Dear Sir,—In accordance with your instructions, I have inspected and examined the working of the Electrical Installation and plant to be acquired by your Company, a short schedule of whicli is annexed. The proposed introduction of a Lauudrv in combination with the Electric Lighting business will, in my opinion, give great facility for using surplus power and energy, which at present is unproductive, although available, and the adoption of Producer Gas made on the premises, instead of the town gas, should reduce the working cost of the Station very considerably. I am of opinion that the amount proposed to be paid for the existing Plant and Assets, viz., £ 1,450, is a fair and reasonable sum, and that with the suggested additions, under efficient management, a substantial and lucrative business is assured in the near future. I am, dear Sir, Yours faithfully, (Signed) HY. T. CREWE. lie Electric Lighting Station, Vron Haulog, Colwyn Bay." The purchase money is £ 1,450. The Vendors take 1,000 paid-up Shares as part of the purchase money and the remainder in cash or Shares as the Directors may decide. The result of working the Electric Plant is very promising. The number of customers is increasing, and with the Laundry added the prospects of a good profit from this source are of a very satisfactory character. The Freehold Land and extensive well-built Premises to be acquired by the Company are situated next to the Public Hall, in the centre of the rapidly-rising town of Colwyn Bay, fronting Abergele -road, where the value of property is constantly increasing. The valuation of the Property is that of J. M. Porter, Esq., Surveyor, Colwyn Bay, who.was appointed to value on behalf of Mrs. Hannah Jones, the Vendor, and the Company by mutual agreement. Provision will be made for drying by an ingenious arrangement of Fans fixed in special drying chambers. by which pure air can be forced through at such a rate as to remove all superfluous moisture, thus securing most wholesome results. Before determining on the class of machinery to be laid down in the Laundry, the Directors have consulted some of the most successful Laundry managers in Great Britain, and, as the result of this enquiry, the Laundry will be fitted up with the very best machinery for turning out good work. The motive power being electricity, the works will be kept in a thoroughly sanitary condition, and the cost of working will be most economical. In view of the fact that the whole concern, when fully equipped, is arranged at current rates to execute work to the extent of £ 150 per week, or £ 7,800 per year, the Directors consider the following a low estimate of the minimum amount of business they may expect:— Laundry for 200 families at an average of 3s. each family per week £ 1,560 0 0 LESS—66%, an ample allowance for wages, working expenses, depreciation, A'c. 1,040 0 0 As against the sum of £ 520 0 0 The amount required to pay 6% on Preference Shares X60 0 0 „ „ 10% on Ordinary Shares 200 0 0 260 0 0 Leaving a surplus balance of 0 The DIRECTORS have such entire confidence in the success of the Company that they will receive no remuneration except for special services rendered until the full interest is paid on the Preference Shares and a dividend of 10 per cent. for the year on the Ordinary Shares when the Directors will be entitled to one half of the remaining profit. The only Agreement relating to the purchase of the business is one dated 13th October, 1900, and is made between the Vendors of the one part, and the Trustee for and on behalf of the Company of the other part. The Vendors pay all the costs of the formation of the Company up to Allotment. The Company will take over the business as and from first day of October, 1900. The Company paying interest to the Vendors at the rate of 5% per annum from that date until the payment of the purchase money on the sum of £450 cash. The Memorandum and Articles of Association and the above specifically mentioned Contract to- gether with the Agreements entered into with customers, may be inspected at tiie offices of the Company's Solicitor. For full information see Prospectuses and Forms of Application whieh may be obtained at the offices of the Company, and from the Bankers, Solicitor, and Auditor of the Company. 1277 PRINTING OF EVERY DESCRIPTION AT THE PIONEER" OFFICES.
