(Amalgamation of Taff Vale Railway Bute Docks and Barry Dock and Railways Companies Agreements; Provisions as to Capital and Revenue and as to Lands and as to Tolls Rates and Charges and other matters Provisions as to inclusion of Rhymney Railway Company; Amendment of Acts.) NOTICE IS HEREBY GIVEN that applica- tion is intended to be made to Parliament in the ensuing Session by the Taff Vale Railway Company the Bate Docks Company and the Barry Dock and Railways Company (in this Notice referred to as the existing Companies for an Act for the following purposes or some of them (that is to say) To effect or authorise or make provision for the amalgamation into one Company (hereinafter called the Amalgamated Company ") by either of the modes referred to in section thirty-seven of the Railways Clauses Act 1863 or in such other manner as may be prescribed or authorised by the intended Act of the existing Companies and of their respective undertakings or some part or parts thereof respectively including all railways statioAs docks canals piers wharves quays bridges ferries gasworks and other works and conveniences and the lands buildings and property of every descrip- tion of or belonging to the existing Companies respectively and all or any rights casements powers and privileges which the existing Compan- ies respectively have or enjoy or are entitled too exercise either alone or in conjunction with any other company or companies person or persons over or with respect to their own respective undertakings or the undertakings of any other company body or person in which the existing Companies or any of them may have any interest (the word Undertaking where used in this Notice with reference to any of the existing Com- panies being used as including all or any such works lands buildings property rights easements powers and privileges as aforesaid belonging to or vested in or enjoyable or exercisable by the Com- pany with reference to whom the word is used in- cluding any powers conferred upon such company by any Act to be passed in the ensuing Session) upon and subject to such terms and conditions as the existing Com- panies may have agreed or may during the pro- gress of or after the passing of the intended Act agree or as may be defined and declared or pro- vided by or under the intended Act and to provide for the dissolution of the existing Com- panies or of any of them and for vesting in the Amalgamated Company the undertakings of the existing Companies (hereinafter referred to as the Amalgamated Undertaking") and to make ap- plicable to the Amalgamated Undertaking all or any of-thp rights powers and privileges of any of the existing Companies and for those or any of those purposes to confer all necessary powers upon and to make all necessary or convenient provisions with respect to each of the existing Companies or any person or persons holding any property upon trust for either of them or being for the time being competent to sell and dispose of any of their respective properties and upon the Chancery Division of the High Court of Justice. To authorise and confirm or give effect to agree- ments between the existing Companies or the Amalgamated Company and the owner or owners of any railways canals lands and property and any rights easements powers privileges and interests therein which could be conveniently used oc- cupied held or enjoyed as part of the undertaking of the Amalgamated Company with reference to the purchase and sale or the working use man- agement and maintenance thereof and to provide for the transfer to and vesting in or working by the Amalgamated Company of such property rights and interests upon such terms and conditions as may have been or may be agreed upon or as may be provided in the intended Act and to make such other provision and to confer upon the said Companies and such owner or owners all such powers and authorities as may be deemed neces- sary or expedient for giving effect to the objects aforesaid or any of them. To provide for or authorize the amalgamation of the boards of directors of the existing Com- panies or of some members of those boards respectively into one board and to authorize the nomination or election of certain memberfe of the board otherwise than by shareholders and to make other provisions with reference to directors. To fix and determine he capital of the Amal- gamated Company and the number and nominal value of the shares therein and the rights privi- leges preferences and priorities of the several classes of shareholders of the existing Companies in the capital of the Amalgamated Company and to regulate the dividend on such capital. To regulate and fix the amount of mortgages bonds debentures and debenture stock of the Amalgamated Company and to regulate and if need be to alter and vary the rights privileges preferences and priorities of the holders of existing mortgages bonds debentures and deben- ture stocks and of the creditors of the existing, Companies respectively in and upon the under- taking and funds of the Amalgamated Company. To provide for the appropriation and distribu- tion of the revenues and income of the Amalga- mated Company amongst the holders of the several classes of the loan and share capital of that Company representing the several classes of the loan and share capitals of the existing Com- panies respectively in such proportions and with such priorities rights and privileges as may have been or may be agreed upon between the said Companies or any of them or as may be prescribed or provided for by the intended Act. To authorise the issue of shares stock or de- benture stock and the borrowing on mortgage by any of the existing Companies or the Almaga- mated Company and to authorize the investment of trust funds in the debenture or rent-charge or guaranteed or preference stock of the Amalga- mated Company and so far as may be necessary to amend and extend subsection G of section three of the Trust Investment Act 1889 and section thirty- five of the Taff Vale Railway Act 1890. To authorise the sale lease or other disposal of any part of the undertaking works lands or property of any of the existing Companies or of the Amalgamated Company and to provide for the application of the purchase-money or con- sideration arising therefrom and if necessary to exempt such lands from the provisions of the Lands Clauses Consolidation Act 1845 with respect to the sale of superfluous land and from section twenty-three of the Harbours Docks and Piers Clauses Act 1847. To provide define and regulate the tolls rates and charges for the use of the railways docks warehouses and conveniences and for services rendered and on or in respect of vessels passen- gers and goods which the Amalgamated Company may demand take levy and recover and to alter if need be the tolls rates and charges now leviable by the existing Companies respectively and to enable the Amalgamated Company to levy the same or other tolls rates and charges and to confer vary and extinguish exemptions from payment of such existing and proposed tolls rates and charges or some of them and so far as necessary to vary modify or repeal any provisions in any of the Acts relating or referring to the existing Companies or any of them authorizing any such rates or charges or conferring exemptions therefrom. To confer further powers upon the Amalga- mated Company with respect to the management control and regulation of vessels or persons resorting to or being within their docks works or property and the loading unloading handling warehousing and dealing with goods in from at or upon any of the quays wharves warehouses or property of the Amalgamated Company. The intended Act will or may provide that the proposed amalgamation shall extend to and in- clude the Rhymney Railway Company and their undertaking as if that Company had been one of the existing Companies hereinbefore referred to or it will or may make provision for enabling the. Rhymney Railway Cempany to become partners with the Amalgamated Company and for their undertaking to be amalgamated with the under. I taking of the Amalgamated Company or to be purchased by and transferred to or worked by the Amalgamated Company at such time and on such terms and subject to such conditions as may have been or may be agreed upon between the existing Companies or the Amalgamated Company and the Khymney Railway Company either before or after the passing of the intended Act and will or may confirm or give effect to any such agreement which may have been entered into prior to the passing of the intended Act and will contain all such provisions and confer upon the existing Com- panies or the Amalgamated Company and the Rhymney Railway Company all such powers as may be necessary or expedient for carrying into effect all or any of the objects aforesaid. To vary or extinguish all or any rights and pri- vilages which are inconsistent with or would inter- fere with the objects of the intended Act and to confer other rights and privileges. To alter amend extend or repeal so far as may be necessary for the purposes of the intended Act some or any of the provisions of the Acts follow- ing (that is to say) The Act (local and personal) 6 Will. IV. cap. 82 and any other Act or Acts relating to the Taff Vale Railway Company. The Acts 1 Will. IV. cap. 133 (local) and 4 Will, IV. cap. 19 (local) relating to the Bute Ship Canal Docks and Works at Cardiff in the County of Glamorgan the Bute Docks Acts 1865 to 1890 and all other Acts relating to the Bute Docks Company or their Undertaking. The Barry Dock and Railways Act 1884 and all other Acts relating to the Barry Dock and Rail- ways Company or their undertaking. The Act (local and personal) 17 and 18 Vict. cap. 193 and all other Acts relating to the Rhymney Railway Company.
